Yeni Türk Ticaret Kanunu'na Göre Limited Şirketin Sona Erme Nedenleri

Abstract

Limited şirket bir veya daha çok gerçek veya tüzel kişi tarafından, bir ticaret unvanı altında kurulan ticaret şirketidir. Sermayesi belirli olup, bu sermaye esas sermaye paylarının toplamından oluşur. Limited şirketler, ticaret siciline tescil ile tüzel kişilik kazanırlar. Tüzel kişilik kazanan şirket ise yalnızca kanunda sayılan nedenler ve usullerle sona erebilir.Hem sermaye hem şahıs şirketlerinden özellikler taşıyan dolayısıyla karma nitelikli şirket olarak addedilen limited şirket değişen Türk Ticaret Kanunu ile birlikte karma niteliğinden uzaklaşarak ufak sermayeli anonim şirket olma özelliğine kavuşmuştur. Sermaye şirketi özelliğinin daha baskın hale getirilmesi şirketi sona erdiren kuralları da etkilemeye ve farklı görüşlerin ortaya çıkmasına neden olmuştur.Türk Ticaret Kanunu'nda bir ayrım yapılmamış olmakla birlikte, esasında şirketi sona erdiren nedenler infisah nedenleri ve fesih nedenleri olarak ikiye ayrılmaktadır. İnfisah şirketin kendiliğinden sona ermesidir. Fesih ise mahkeme veya genel kurul kararı ile gerçekleşir.Birleşme ve bölünme gibi istisnai birkaç durum dışında genel anlamda bir ticaret şirketinin sona ermesinin en önemli sonucu tasfiye aşamasına girmesidir. Limited company is a commercial company that is established under a trade name by one or more natural or legal persons. Its capital is certain, and this capital consists of the shares of the main capital. The limited companies gain legal personality by being registered at trade registry. And the companies that gain legal personality could wind up only according to the reasons and procedures laid down by laws.The limited company, that has characteristics of both capital company and private company, and consequently that is regarded as a hybrid nature company, wanders away from its hybrid nature and turns to be a small-capital incorporate company in accordance with the changed Turkish Commercial Code. Making the characteristics of capital company more dominant has also affected the rules of winding up the company and has caused different ideas to emerge. Although, there is not a division indicated at Turkish Commercial Code, actually the reasons winding up the company divide into two parts as dissolution reasons and rescission reasons. Dissolution means the company's winding up spontaneously. Rescission means company's winding up by the court decision or resolution of general assembly. Apart from some exceptional cases such as unity and division, in general terms, the most important result of winding up a commercial company is that coming to the phase of liquidation.
